Provisions:
(1) Entire
Agreement. This Underwriting Proposal constitutes
the entire agreement among the parties with respect
to the subject matter of this Underwriting Proposal
and supersedes all other prior agreements and
understandings, both written and oral, between the
parties with respect to the subject matter of this
Underwriting Proposal.
(2) Governing Law. This Underwriting Proposal will
be governed by and construed in accordance with the
laws of Arizona, without regard to the conflict of
laws provision thereof.
(3) Counterparts. This Underwriting Proposal may be
executed in any number of counterparts and by
facsimile, each of which will be deemed to be an
original, but all of which will constitute one and
the
same agreement.
(4) Assignability. Neither this Underwriting
Proposal nor any right, remedy, obligation or
liability
arising hereunder or by reason hereof shall be
assignable by the Underwriter without the prior
written consent of the Cantina Cup.
(5) Binding Agreement. Upon execution hereof, the
Cantina Cup hereby agrees to provide the
abovementioned Benefits to the Underwriter and, the
Underwriter, as consideration for the
Benefits, agrees to pay and deliver to the Cantina
Cup the Request.
(6) Amendment; Modification. This Underwriting
Proposal may be amended, modified or supplemented at
any time only by written agreement of the parties
hereto.
